Canopy Growth (WEED.T) eats Hiku Brands (HIKU.C)

On September 5, 2018 Canopy Growth (WEED.T) (CGC.NYSE) announced that it has closed the acquisition of Hiku Brands (HIKU.C).

The announcement followed Hiku’s August 30, 2018 special meeting of shareholders who voted to approve the transaction.

“The Tweed and Vert brands we’ve built are now complemented with the likes of DOJA, Tokyo Smoke, Maitri, and Van der Pop,” stated Bruce Linton, Chairman & Co-CEO, Canopy Growth, “placing the taste-makers of tomorrow’s cannabis industry on the same team.”

The last few weeks, Canopy has been dominating the weed news cycle.

Two weeks ago, Canopy (WEED.T) announced Constellation Brands is acquiring 104.5 million of its shares at C$48.60 CAD, a 37.9% premium.

Constellation – the maker of Corona – will also receive additional warrants of Canopy that, if exercised, would provide for at least an additional $4.5 billion CAD to Canopy, boosting Constellation’s stake in Canopy to 38%.

Canopy jumped $10.05 CAD (+31%) on 26.8 million shares traded.

On September 4, 2018, 12,000 Equity Guru investors read Chris Parry’s article, “Canopy Growth Corp (WEED.T) has $5 billion to buy something: What’s on the list?”.

On September 8, 2015, WEED was selling at $1.64 per share.  It’s now around $68 per share – good for a 3-year gain of 4,200%.

Let’s put that in perspective.

We wrote about Hiku in August, 2017 when the company was still called DOJA and the stock was trading at .60.

Is Canopy “the greatest cannabis company the world has ever seen?”

Canopy Products:

Dried Flower – Cannabis leaf that meets and exceeds the requirements of the most stringent regulatory environments in the world. Employing industry best practices for cultivation, harvest, cure, trim and packaging.

Oils + Concentrates – Cannabis extracts using state-of-the art supercritical fluid CO2 extraction technology, which extracts the major cannabinoids (THC and CBD), as well as the minor cannabinoids, terpenes.  Oils have different ratios of THC and CBD in order to meet the unique medical needs of our customers.

Hemp – Industrial hemp contains very low levels (<0.3%) of the psychoactive ingredient THC (delta-9 tetrahydrocannabinol). Hemp is an excellent source of low-cost CBD, leveraging expertise in hemp farming and cannabinoid extraction, the hemp division is positioned to service this exploding frontier market.

Hiku is now a wholly-owned subsidiary of Canopy Growth and the Hiku Shares are anticipated to be de-listed from the Canadian Securities Exchange in the next 48 hours.

“Canopy Growth has acquired 100% of the common shares of Hiku and Hiku shareholders will receive 0.046 of a Canopy Growth common share in exchange for each Hiku Share held immediately prior to the closing.”

Hiku shareholders have done okay.

The stock is halted at $2.76 – up about 400% since we first wrote about them in August, 2017.

Now Hiku shareholders own a chunk of Canopy, that has a current market cap of $14.2 billion.
